These Terms of Service ("Terms") govern your access to and use of the websites, platforms, and demonstration environments operated by QuestCare LifeStyle Solutions, Inc. ("QCLS," "we," "us," or "our"), an Indiana 501(c)(3) nonprofit corporation (EIN 33-3036616), including UnoSphere™, OurWalk™, qPartner™, FoundationReady™, theShift™, weCARES™, AskQCLS™, Phorsyte™, and any client-specific coordination-platform demonstrations we build and operate (collectively, the "Services"). By accessing or using any Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.
QCLS connects individuals and organizations to essential resources, strengthens nonprofit capacity, and builds accountable, standards-driven coordination systems. Some of our platforms are live production services; others are client demonstration environments built to show a prospective partner organization how a coordination system would work before a formal engagement begins. Where a platform is a demonstration, it is clearly labeled as such, and any placeholder content (phone numbers, agency names, or figures not yet finalized) is disclosed within the platform.
Nothing on any QCLS website, platform, or demonstration is a substitute for calling 911 or another emergency service in a life-threatening situation. Any crisis-line numbers, dispatch numbers, or similar contact information shown are provided for informational/coordination purposes and, within a demonstration environment specifically, may be placeholders pending a live deployment.
Some Services allow an individual or an organization to register or submit information through an authorized representative. If you submit information on behalf of an organization, you represent that you have the authority to do so, and that the information you submit is accurate and current. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity that occurs under them.

If your organization participates in the QCLS provider network (including at any partner tier), you agree to provide accurate information about your services, eligibility rules, and capacity, and to keep that information reasonably current. Self-reported capacity or status information is provided by each organization and, while we take reasonable steps to prompt regular updates, QCLS does not guarantee that any specific provider's reported capacity is current at the moment a request is routed.
QCLS and its licensors own all right, title, and interest in and to the Services, including the QCLS name and logo, and the trademarks UnoSphere™, OurWalk™, qPartner™, FoundationReady™, theShift™, weCARES™, AskQCLS™, and Phorsyte™, along with all associated content, design, text, graphics, and software, except for information and content you submit to us. Nothing in these Terms grants you any license or right to use QCLS's name, marks, or content, except as necessary to use the Services as intended. You may not copy, modify, distribute, publicly display, or create derivative works from any part of the Services without our prior written permission.
Any information, documents, or content you submit through a Service remains yours. By submitting it, you grant QCLS a non-exclusive, royalty-free license to use, store, reproduce, and share that content as necessary to operate the Service, respond to your request, and route it to an appropriate provider or QCLS staff member. We use submitted content only as described here and in our Privacy Policy.
The Services may link to, or rely on, third-party websites or service providers (for example, payment processors, email or SMS delivery providers, or partner organizations). QCLS does not control and is not responsible for the content, availability, or practices of any third party, and your use of a third-party site or service is at your own risk and subject to that third party's own terms.
By providing a mobile phone number and consenting to receive text messages from QCLS, you agree to the following:
The Services, including demonstration environments, are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that any Service will be uninterrupted, timely, secure, or error-free, and — specifically within a demonstration environment — features described as in-progress or as a placeholder are not guaranteed to function as a live production service would.
To the fullest extent permitted by law, QCLS and its officers, directors, employees, and volunteers are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of or relating to your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless QCLS and its officers, directors, employees, and volunteers from and against any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
We may suspend or terminate your access to any Service, at any time and with or without notice, if we reasonably believe you have violated these Terms, engaged in conduct harmful to QCLS, another user, or a third party, or for any other reason at our discretion, including discontinuing a Service entirely. Sections of these Terms that by their nature should survive termination (including Intellectual Property, No Warranty, Limitation of Liability, Indemnification, and Governing Law) will survive.
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Indiana, and you consent to the personal jurisdiction and venue of those courts.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy and any additional terms disclosed within a specific Service, constitute the entire agreement between you and QCLS regarding the Services and supersede any prior agreements or understandings, written or oral, regarding the same subject matter.
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. QCLS may assign these Terms without restriction, including in connection with a merger, reorganization, or transfer of substantially all of its assets.
We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Continued use of a QCLS platform after a change becomes effective means you accept the updated Terms.
